These Terms of Service ("Terms") govern your access to and use of the services provided by NexrStack Software, Inc. ("NexrStack", "we", "us") under the NexrDomains brand at nexrdomains.com and clients.nexrdomains.com (collectively, the "Services"). By creating an account, registering a domain, or otherwise using the Services, you ("you", "Customer") agree to be bound by these Terms.
1. Acceptance of Terms
By using the Services you confirm that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Services on behalf of an organisation, you represent that you are authorised to bind that organisation. If you do not agree to these Terms, do not use the Services.
2. Services
NexrDomains provides domain name registration, transfer, renewal, DNS management, email hosting, SSL certificate provisioning, and related services. Domain registration services are provided through accredited registrars and registries; certain back-end registrar services are powered by 20i. Service availability for any specific top-level domain ("TLD") is subject to the policies of the corresponding registry.
3. Domain Registrations
Domain registrations are governed by the policies of ICANN (where applicable), the relevant registry, and these Terms. By registering a domain you also agree to the Domain Registration Agreement. You are responsible for keeping your registrant contact details accurate and up to date.
- Domain ownership transfers from NexrDomains to other registrars must comply with ICANN's Transfer Policy and any registry-specific rules.
- We may refuse to register or renew a domain at our discretion, subject to a refund of any prepaid fees for that domain.
- You acknowledge that registration does not create proprietary rights in the domain name beyond the right to use it for the term of registration.
4. Fees and Payment
Fees for the Services are listed at nexrdomains.com/pricing and within your client portal. All prices are quoted in U.S. Dollars (USD) unless otherwise stated. You authorise us to charge your stored payment method for all applicable fees, including auto-renewal charges, until you cancel.
Renewal pricing reflects current rates at the time of renewal, which may differ from the original registration price. We will attempt to display the renewal price up front at the time of registration where possible. You are responsible for ensuring a valid payment method is on file before renewal.
5. Refunds
Domain registrations are non-refundable once the registry has issued the domain, in line with industry practice. Hosting, email and other recurring services are refundable on a pro-rata basis within the first 30 days of purchase. Full details are set out in our Refund Policy.
6. WHOIS and Registrant Data
ICANN and most registries require registrant contact information to be accurate and verifiable. By registering a domain you authorise us to publish or share registrant information as required by registry policy and applicable law. Where supported, we offer WHOIS privacy free of charge to limit the public disclosure of your personal contact information; see our Privacy Policy for details.
7. Acceptable Use
You agree not to use the Services to:
- Engage in or promote unlawful activity, including phishing, malware distribution, fraud, or distribution of child sexual abuse material;
- Send unsolicited bulk email, operate open relays or open proxies, or otherwise abuse the email infrastructure;
- Infringe the intellectual property, publicity, privacy, or other rights of any third party;
- Conduct denial-of-service attacks, port scans, or unauthorised security testing of any system;
- Register domain names in bad faith, including for the purpose of selling them to a trademark holder, or to disrupt the business of a competitor.
8. Suspension and Termination
We may suspend or terminate your account or any specific Service for breach of these Terms, non-payment, fraud, abuse, or where required by law, registry policy, or law-enforcement order. Where reasonable, we will give you advance notice and an opportunity to cure. On termination, accrued payment obligations survive.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, NexrStack's aggregate liability under these Terms is limited to the greater of (a) the fees you paid us for the affected Service in the twelve months before the event giving rise to liability, or (b) one hundred U.S. dollars (USD 100). We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill.
11. Indemnification
You agree to indemnify and hold harmless NexrStack, its affiliates, officers, employees, and agents from any third-party claims arising out of (a) your use of the Services, (b) your violation of these Terms, (c) your domain name registrations, or (d) your violation of any law or third-party rights.
12. Changes
We may update these Terms from time to time. Material changes will be notified by email or in the client portal at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute is the state and federal courts located in Delaware, except where mandatory consumer-protection law provides otherwise.
